1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the QLIO reservation panel software and related services (“Service”) provided by Cherry Crow sp. z o.o., ul. Domaniewska 37/2.43, 02-672 Warsaw, Poland (“QLIO”, “we”, “us”, “our”).

By signing a service agreement, accessing, or using the Service, you (“Client”, “you”) agree to be bound by these Terms.

QLIO is a B2B service intended exclusively for business use. We do not provide services to individuals acting in a personal (non-commercial) capacity.

2. The Service

QLIO provides software and related services for hourly-rental venues, including but not limited to:

  • An online reservation panel for venue guests
  • An administration dashboard for managing bookings, pricing, availability, and add-ons
  • Payment processing integration (via third-party providers)
  • Invoicing integration (via third-party providers)

The specific scope, configuration, and pricing of your Service are defined in your individual Service Agreement, which forms part of these Terms and takes precedence in case of conflict.

We continuously develop the Service. We may add, modify, or discontinue features at any time, provided that material reductions in functionality are communicated with reasonable advance notice.

3. Account and Access

3.1 You are responsible for maintaining the security of your admin credentials.

3.2  You are responsible for all activity that occurs under your account.

3.3  You must promptly notify us at support@qliopanel.com if you suspect unauthorized access.

3.4  The number of venues and users covered is defined in your Service Agreement.

4. Fees and Payment

4.1  Pricing. Your monthly fee is specified in your Service Agreement.

4.2  Flat rate. QLIO charges a flat monthly fee. We do not charge commissions, per-booking fees, or revenue-based fees.

4.3  Payment. Fees are due monthly in advance on the date specified in your Service Agreement.

4.4  Late payment. If payment is not received within 14 days of the due date, we reserve the right to suspend access.

4.5  Price changes. We may change fees with 60 days written notice.

4.6  Third-party costs. Certain integrations involve third-party services with their own fees. These are your responsibility.

4.7  Taxes. Fees are exclusive of applicable taxes (e.g., VAT, GST).

5. Your Obligations

5.1  You agree to use the Service only for lawful business purposes and in compliance with applicable laws.

5.2  You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Resell or sublicense access to the Service to third parties without written consent
  • Use the Service to process bookings for venues not covered by your Service Agreement
  • Attempt to interfere with or disrupt the Service or its infrastructure
  • Use the Service to facilitate illegal transactions or fraudulent activity

5.3  You are responsible for ensuring your use of QLIO complies with applicable privacy and data protection laws. See Section 8 (Data Processing) and our DPA.

5.4  You are responsible for the accuracy of data you provide to us.

6. Intellectual Property

6.1  QLIO and all related software, designs, trademarks, and content remain the exclusive property of Cherry Crow sp. z o.o.

6.2  You grant us a limited license to use your brand assets solely for the purpose of configuring your booking panel.

6.3  Any feedback or suggestions you provide may be used by us freely without obligation to you.

7. Availability and Support

7.1  We aim to maintain 99% uptime, excluding scheduled maintenance.

7.2  Support is provided via support@qliopanel.com. Critical issues: within 24 hours on business days.

7.3  We are not liable for downtime caused by third-party services or circumstances outside our reasonable control.

8. Data Processing

8.1  QLIO processes personal data of your end-customers on your behalf. You are the data controller; QLIO is the data processor.

8.2  The terms of such processing are governed by our Data Processing Agreement (DPA), incorporated into these Terms by reference.

9. Confidentiality

9.1  Each party agrees to keep confidential any non-public information received from the other party.

9.2  Confidential Information may only be disclosed to employees or contractors who need it and are bound by equivalent obligations.

9.3  This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

10. Warranties and Disclaimers

10.1  We warrant that we have the right to provide the Service, it will perform materially as described in your Service Agreement, and we will implement reasonable security measures.

10.2  Except as stated above, the Service is provided “as is” and “as available.” We make no other warranties.

10.3  We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

11.1  Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.

11.2  QLIO’s total cumulative liability shall not exceed the total fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

11.3  Nothing limits liability for death or personal injury, fraud, or any liability that cannot be limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Cherry Crow sp. z o.o. from any claims arising from: your violation of these Terms, your use of the Service in an unpermitted manner, your violation of third-party rights, or data you collect from your end-customers.

13. Term and Termination

13.1  Term. These Terms begin on the date you accept the Service Agreement and continue on a monthly rolling basis.

13.2  Termination by you. You may terminate with 30 days written notice to support@qliopanel.com. No refund for the current billing period.

13.3  Termination by us. We may terminate immediately if you materially breach these Terms and fail to remedy within 14 days, fail to pay, or if continued provision creates legal or reputational risk.

13.4  Effect of termination. Access ceases. Data available for export for 30 days, then deleted. Outstanding fees remain payable.

14. Changes to These Terms

We may update these Terms with at least 30 days email notice before material changes take effect. Continued use constitutes acceptance.

15. Governing Law and Dispute Resolution

15.1  EU and UK clients. Governed by the laws of Poland. Courts of Warsaw have exclusive jurisdiction.

15.2  US clients. Governed by the laws of the State of New York. Disputes submitted to binding arbitration under AAA rules.

15.3  All clients. Both parties agree to attempt informal resolution by contacting support@qliopanel.com before formal proceedings.

16. General

16.1  Entire agreement. These Terms, the Service Agreement, and DPA constitute the entire agreement.

16.2  Severability. If any provision is unenforceable, remaining provisions continue in full force.

16.3  No waiver. Failure to enforce a provision does not waive the right to enforce it in the future.

16.4  Assignment. You may not assign your rights without written consent. We may assign upon 30 days notice.

16.5  Force majeure. Neither party is liable for failure due to circumstances beyond reasonable control.
